The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 20, 2023.

Number of shares:  four million units (Each unit consists of one common share and one share purchase warrant.)

Purchase price:  25 cents per unit

Warrants:  four million share purchase warrants to purchase four million shares

Warrant exercise price:  40 cents for a one-year period

Warrant acceleration:  At the option of the company, if the daily volume weighted average closing price of the common shares of the company is equal to or greater than 60 cents for a period of 20 consecutive trading days, the company may accelerate the expiry date of the warrants by issuing a news release announcing the reduced warrant term whereupon the warrants will expire on the 30th calendar day after the date of such news release.

Number of placees:  18 placees

Total existing insider involvement:  260,000 (three insiders)

Finder's fee:  $56,100

The company issued a news release on July 20, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
