INTEGRAL METALS ANNOUNCES NON-BROKERED FLOW-THROUGH PRIVATE PLACEMENT
Integral Metals Corp. has arranged a non-brokered private placement of units of the company at a price of 40 cents per unit for aggregate gross proceeds of up to $1.25-million.
Each unit will consist of one common share of the company to be issued as a flow-through share within the meaning of the Income Tax Act (Canada) and one transferable common share purchase warrant of the company. Each warrant will entitle the holder to acquire one non-flow-through common share of the company at an exercise price of 50 cents per warrant share for a period of 18 months from the date of issuance.
The gross proceeds from the issuance of the FT shares will be used to incur eligible Canadian exploration expenses that are intended to qualify as flow-through mining expenditures, as those terms are defined in the tax act, on the company's mineral properties, including the company's KAP project. The company intends to renounce those expenses to the initial purchasers of the FT shares with an effective date no later than Dec. 31, 2026, in an aggregate amount not less than the gross proceeds raised from the issuance of the FT shares.
The offering is expected to close on or about Sept. 14, 2026. Closing of the offering is subject to the receipt of all necessary corporate and regulatory approvals. All securities issued in connection with the offering will be subject to a statutory hold period of four months and one day from the applicable date of issuance.
