The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 12, 2024.

Convertible debenture:  $570,000

Conversion price:  convertible into a maximum of 6,705,882 common shares at 8.5 cents per share during the first year and at 10 cents per share for the second and third years

Maturity date:  three years from issuance

Interest rate:  12 per cent per annum

Number of placees:  16 placees

Total existing insider involvement:  1,247,058 (one insider)

Total pro group involvement:  1,652,939 (three pro groups)

Finder's fee:  $29,120 cash and 342,586 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 8.5 cents for a three-year period.

The company issued news releases on Jan. 31, 2024, and Feb. 16, 2024, confirming the closing of the private placement.
