The TSX Venture Exchange has accepted for filing the Company's proposal to issue 6,909,843 shares and 2,608,254 warrants to settle outstanding debt for $518,238.36.

Number of creditors:  five creditors

Total non-arm's-length-party involvement:  $127,000, 1,693,333 shares at 7.5 cents (two parties)
