Calgary, Alberta--(Newsfile Corp. - September 3, 2026) - International Frontier Resources Corporation (TSXV: IFR) ("IFR") and Kinjal Corporation ("Kinjal") are pleased to announce the execution of definitive agreements relating to the acquisition and farm-in transactions described below.

Specifically, Petro Frontera S.A.P.I. de C.V. ("Petro Frontera") has executed a definitive share purchase agreement with Jaguar Exploración y Producción de Hidrocarburos, S.A.P.I. de C.V. ("Jaguar") to acquire Jaguar's outstanding 57.37% interest in Tonalli Energía, S.A.P.I. de C.V. ("Tonalli"), the operator and holder of the A24.TM Tecolutla field. In parallel, Kinjal has executed a definitive farm-in agreement (the "Formal Agreement") with Jaguar 2.3 and Pantera Exploración y Producción 2.2, S.A.P.I. de C.V. ("Pantera 2.2") covering the CS.06 and A10.CS natural gas blocks in southern Mexico. Tonalli/Tecolutla, CS.06 and A10.CS are collectively referred to as the "Jaguar Assets."

Tonalli / Tecolutla

Tonalli holds a 100% working interest in, and is operator of, the Tecolutla Block in Veracruz, Mexico. IFR, through Petro Frontera, currently owns 42.63% of Tonalli. Following completion of the acquisition of Jaguar's outstanding 57.37% interest and the proposed reverse takeover of IFR by Kinjal (the "RTO Transaction"), the resulting issuer (the "Resulting Issuer") is expected to indirectly own 100% of Tonalli, consolidating ownership and operational control of the Tecolutla Block.

CS.06 and A10.CS

Under the farm-in agreement, Kinjal may earn up to an 80% working interest in each of the CS.06 and A10.CS blocks by funding 90% of the agreed work program of up to four shallow wells in each block. The blocks are located in the Macuspana Basin in Tabasco, southern Mexico, near established infrastructure and the Mayakan pipeline system, providing potential access to premium-priced domestic natural-gas markets. The Kinkan discovery, located within the CS.06 Block, tested at over 5 MMcf/d from a single zone.

Warren Levy, Kinjal's CEO, commented, "Mexico is seeking to increase domestic energy production, and the Jaguar Assets can provide a meaningful platform from which to help meet this objective. Consolidating Tonalli will give Kinjal full ownership and operational control of the Tecolutla Block, while the CS.06 and A10.CS farm-ins will provide access to significant natural-gas development and exploration potential near established infrastructure. The Kinkan discovery is particularly important because it demonstrates the potential for additional domestic gas supply in southern Mexico."

Completion of the transactions contemplated by the definitive agreements remains subject to receipt of all regulatory approvals, authorizations, permits, and consents required under applicable regulations to enter and perform its obligations under the Formal Agreement and the related joint operating agreement.

Completion of the transaction is subject to a number of conditions, including but not limited to, the Exchange's acceptance and if applicable, disinterested shareholder approval.
