The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 29, 2023, and Jan. 10, 2024.

Convertible debenture:  $60,000

Conversion price:  convertible into a maximum of 300,000 common shares at 20 cents per share

Maturity date:  five years from the date of issuance

Interest rate:  25 per cent per annum

Number of placees:  three placees

The company issued a news release on Jan. 18, 2024, confirming the closing of the private placement.
