Resume trading

The common shares of the company have been halted from trading since March 25, 2025, pending completion of a qualifying transaction.

Effective at the opening, Wednesday, Dec. 10, 2025, the common shares of Tenx Protocols Inc. will commence trading on the TSX Venture Exchange under the new symbol TNX.

Qualifying transaction -- completed/new symbol

The TSX Venture Exchange has accepted for filing the company's qualifying transaction, as described in its filing statement dated Nov. 25, 2025. As a result, at the opening on Wednesday, Dec. 10, 2025, the company will no longer be considered a capital pool company (CPC). The qualifying transaction includes the following:

The qualifying transaction involves the arm's-length acquisition of Tenx Protocols Inc. for consideration of 61,144,694 common shares at a deemed price of 75 cents, including 8,487,740 shares issued pursuant to a subscription receipt brokered private placement for cash consideration and 31,416,955 shares issued pursuant to a subscription receipt non-brokered private placement for cryptocurrency consideration completed by Tenx concurrent with the transaction.

Ten million six hundred one thousand common shares issued pursuant to the qualifying transaction are subject to a Tier 2 escrow agreement to be released over a 36-month period. One million sixty-six thousand six hundred sixty-nine common shares are subject to a CPC escrow agreement to be released over an 18-month period.

The exchange has been advised that the above transactions have been completed.

Name change and consolidation

Pursuant to a resolution passed by directors on Nov. 21, 2025, the company has consolidated its capital on a one-new-for-7.5-old basis. The name of the company has also been changed as follows.

Effective at the opening on Wednesday, Dec. 10, 2025, the common shares of Tenx Protocols will commence trading on the TSX Venture Exchange and the common shares of Iocaste Ventures Inc. will be delisted.
