INTEGRATED CYBER SOLUTIONS ANNOUNCES CLOSING OF OVER-SUBSCRIBED NON-BROKERED PRIVATE PLACEMENT OF COMMON SHARES

Further to the news releases dated Oct. 15, 2025, and Nov. 4, 2025, Integrated Cyber Solutions Inc. has closed a non-brokered private placement financing of 12.1 million common shares in the capital of the company at a price of 25 cents per share for aggregate gross proceeds of $3,025,000. The offering was oversubscribed by an aggregate of $525,000. The shares sold pursuant to the offering are subject to a four-month hold period pursuant to securities laws in Canada.

Alan Guibord, chief executive officer and a director of the company, commented: "We are very pleased to have completed this private placement and are grateful for the overwhelming response and the confidence our investors have in our team, our strategy and the opportunities ahead. In connection with the offering, the company paid certain eligible third parties dealing at an arm's length with the company cash commissions totalling $27,890, representing 2 per cent of the proceeds raised from subscribers introduced to the company by such finders.

The company will use the net proceeds of the offering for general working capital and software development.
