The TSX Venture Exchange has accepted for filing the company's proposal to issue 17,263,273 shares to settle outstanding debt for $3,127,156.50.

Insiders:  $684,856.50, 3,802,017 shares at an average of 18 cents (two insiders)

The company shall issue a news release when the shares are issued and the debt extinguished.
