The TSX Venture Exchange has accepted for filing a securities purchase agreement dated June 16, 2014, pursuant to which Integra Gold Corp. will acquire 2,222,222 shares at a deemed price of 45 cents per share in Pinetree Capital Ltd., an investment company registered in Ontario and listed on the Toronto Stock Exchange, in exchange for five million units in Integra at a price of 20 cents per unit. Each Integra unit will consist of one common share in the company and one common share purchase warrant of Integra to acquire one common share of Integra at a price of 30 cents per warrant share until expiry on June 27, 2016. If the common shares of Integra trade on the TSX Venture Exchange at a weighted average price of greater than 50 cents for any 10 consecutive trading days, the company may, on written notice to Pinetree, reduce the exercise period of the Integra warrants to a state that is no less than 30 days from the date of the notice.
