IBC ADVANCED ALLOYS ANNOUNCES CLOSING OF INITIAL US$1,250,000 FUNDING BY THE LIND PARTNERS

IBC Advanced Alloys Corp. has closed on initial financing under the previously announced convertible security financing agreement with Lind Global Fund III LP, managed by The Lind Partners LLC, a New York-based institutional fund manager.

Under the agreement, Lind advanced to the company $1.25-million (U.S.) ($1,702,125 (Canadian)), less a closing fee of $62,500 (U.S.) ($85,106.25 (Canadian)), in consideration for the issuance to Lind of: (i) an uncertificated convertible security in the principal amount of $1.25-million (U.S.) and having an aggregate face value of $1.5-million (U.S.) ($2,042,550 (Canadian)); and (ii) 3,943,948 common share purchase warrants, exercisable for 24-months from the date of issue with an exercise price of 25.26 Canadian cents. The proceeds from the convertible security issuance will be used for working capital and general corporate purposes.

The agreement and the issuance of the convertible security thereunder were conditionally approved by the TSX Venture Exchange on Feb. 17, 2026. The securities issued to Lind are subject to a hold period of four months and one day.
