HYPER BIT TECHNOLOGIES PROVIDES UPDATE ON PRIVATE PLACEMENT

Further to Hyper Bit Technologies Ltd.'s news release dated July 6, 2026, the company is providing an update on its non-brokered private placement of up to 15 million units at a price of 10 cents per unit for gross proceeds of up to $1.5-million. The company is continuing to work on closing the offering and anticipates closing later this week or early next week.

In addition, a portion of the offering will be completed as debt settlements. The company will issue up to 3.8 million units at a price of 10 cents per unit to settle up to $380,000 in outstanding debt. The units issued in the debt settlement will have the same terms as the units issued in the offering.
