OBTAINS CONDITIONAL APPROVAL FOR QUALIFYING TRANSACTION WITH CARRIER CONNECT
AND FILES RELATED FILING STATEMENT

Hopefield Ventures Two Inc.'s press releases dated Sept. 17, 2024, Oct. 23, 2024, and Nov. 6, 2024, the TSX Venture Exchange has conditionally approved its previously announced qualifying transaction with Carrier Connect Systems Ltd. In connection with the TSX-V's conditional approval of the qualifying transaction, the company has filed a filing statement dated Jan. 31, 2025, with the TSX-V and on the company's SEDAR+ profile. Additional information in respect of the qualifying transaction, the company and Carrier can be found in the filing statement.
The qualifying transaction is scheduled to close at mid-February, 2025, but remains subject to various closing conditions, including the final approval of the TSX-V. The company, upon and subject to completion of the qualifying transaction (the resulting issuer), will continue under the name Carrier Connect Data Solutions Inc. and trade on the TSX-V under the symbol CCDS. Final acceptance of the qualifying transaction will occur upon the issuance of a final exchange bulletin which will provide the proposed date on which the resulting issuer's common shares will commence trading. Until such time, in accordance with the policies of the TSX-V, the company's common shares are currently halted from trading and will remain so until such time as required by TSX-V policies. The company will issue a further comprehensive press release announcing closing of the qualifying transaction and the date on which trading in its common shares will resume, in due course.
Cautionary note
completion of the qualifying transaction is subject to a number of conditions including, without limitation, the receipt of all requisite regulatory approvals (including the final approval of the TSX-V) and other conditions that are customary for a transaction of this nature. Where applicable, the qualifying transaction cannot close until the required approvals have been obtained. There can be no assurance that the qualifying transaction will be completed as proposed or at all.

Hopefield has not commenced commercial operations and has no assets other than a minimum amount of cash. Except as specifically contemplated in TSX-V Policy 2.4, until the completion of a qualifying transaction (as defined in TSX-V Policy 2.4), Hopefield will not carry on any business other than the identification and evaluation of companies, business or assets with a view to completing a proposed qualifying transaction.
