HARVEST GOLD RETAINS INDEPENDENT TRADING GROUP, INC. FOR MARKET-MAKING SERVICES

Harvest Gold Corp., subject to the approval of the TSX Venture Exchange, has retained Independent Trading Group Inc. (ITG) to provide market-making services to the company. ITG will trade the common shares of Harvest Gold on the exchange in compliance with the policies and guidelines of the exchange, and other applicable legislation with the objective of maintaining a reasonable market and improving the liquidity of the common shares of the company. The capital used for the market-making activities will be provided by ITG.

Under the terms of the Engagement, ITG will receive $5,000 per month, plus applicable taxes. The Engagement is effective as of March 13, 2024 and has an initial term of one (1) month. Thereafter, the Engagement will automatically renew for successive one (1) month terms until terminated by either party upon thirty (30) day' prior written notice. There are no performance factors contained under the Engagement nor will ITG receive common shares or options of the Company as compensation.

ITG and the Company are unrelated and unaffiliated entities and at the time of the agreement, neither ITG nor its principals have an interest, directly or indirectly, in the securities of the Company.
