The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 16, 2023.

Number of shares:  2,207,318 common shares

Purchase price:  27.5 cents per common share

Warrants:  2,207,318 common share purchase warrants to purchase 2,207,318 common shares

Warrant exercise price:  30 cents per common share for a period of 24 months

Number of placees:  20 placees

Total existing insider involvement:  300,000 common shares (three insiders)

Finder's fee:  $13,875 cash and 50,454 finder's warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at the price of 30 cents for a period of 24 months.

The company issued news releases on Nov. 17, 2023, and Nov. 24, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
