The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 2, 2024.

Number of shares:  8.6 million shares

Purchase price:  five cents per share

Warrants:  8.6 million share purchase warrants to purchase 8.6 million shares

Warrant exercise price:  7.5 cents for a one-year period

Number of placees:  22 placees

Total existing insider involvement:  2,573,666 (three insiders)

Total pro group involvement:  2.2 million (two pro groups)

Finder's fee:  $4,550 cash and 91,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 7.5 cents for period of one year from the date of issuance.

The company issued a news releases on March 1, 2024, and April 2, 2024, confirming the closing of the private placement.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
