H2 VENTURES 1 INC. ANNOUNCES ADVISORY AGREEMENT DISCLOSURE

At the request of the TSX Venture Exchange, H2 Ventures 1 Inc. has issued this news release regarding the previously entered advisory service agreement dated May 1, 2021, with ECMB Capital Partners Inc., which has since changed its name to Moneta Securities (Alberta) Corp.

Moneta is a non-arm's-length party to the company. The agreement provided for the delivery of advisory services to the company for a base monthly fee of $1,000 plus applicable taxes. The advisory services generally related to supporting the company's capital market activities and administrative functions, including assisting with board meeting co-ordination, liaising with legal, accounting and audit advisers, establishing and maintaining a data room, supporting capital market communications (including preparation of investor materials), and assisting with the preparation and dissemination of press releases and related regulatory filings. The agreement is no longer in effect and expired on April 30, 2024.

H2 is a capital pool company within the meaning of Policy 2.4. H2 has not commenced commercial operations and has no assets other than cash. Except as specifically contemplated in the Policy 2.4 until the completion of its qualifying transaction, the company will not carry on business, other than the identification and evaluation of companies, business or assets with a view to completing a proposed qualifying transaction.
