The TSX Venture Exchange has accepted for filing an agreement dated Sept. 15, 2025, between Homerun Resources Inc. and arm's-length party. Pursuant to the terms of the agreement, the company may acquire rights to exploit the Pedreiras mining tenement at the Santa Maria Eterna silica sand district in the municipality of Belmonte, Bahia, Brazil.

By way of consideration, the company will issue 1,656,000 in common shares and 276,000 in share purchase warrant to the vendor, exercisable into common shares at $1 per share for a period of one year.

Additionally, the royalty rate is 30.17 Brazilian reals per extracted tonne from the mining tenements and 5 per cent on the export sale of an extracted tonne from the mining tenements.
