HOMERUN RESOURCES INC. GRANTED CONDITIONAL APPROVAL

Further to the June 16, 2022, news release, Homerun Resources Inc. has received conditional approval from the TSX Venture Exchange to close the first tranche of its 15-cent-per-unit private placement financing for aggregate gross proceeds of $300,000. On closing of this first tranche, the company will issue two million common shares and two million common share purchase warrants exercisable at 25 cents per common share for a period of 12 months from issuance, subject to the right of the company to accelerate the exercise period to 30 days if, after the expiry of the four-month hold, shares of the company close at or above 50 cents for 10 consecutive trading days.

Nexvu Capital Corp., a company with directors in common with Homerun, participated in the first tranche of the financing for $150,000, with that portion of the financing a related-party transaction as such term is defined under MI 61-101 (Protection of Minority Security Holders in Special Transactions). The company is relying on exemptions from the formal valuation requirement of MI-61-101 under sections 5.5(a) and (b) of MI 61-101 in respect of the transaction as the fair market value of the transaction, insofar as it involves the interested party, is not more than 25 per cent of the company's market capitalization. All securities issued pursuant to the financing are subject to a four-month hold.

Homerun holds the 30,970-hectare (76,529-acre) Homathko gold project located in the Caribou regional district, 190 kilometres southwest of Williams Lake, B.C., Canada. The property is located directly south of Kingfisher Metals' Goldrange property. The Homathko project is a mesothermal-lode-gold-type, drill-ready prospect in a formerly glaciated area of the eastern margin of the southern Pacific Coastal range, located strategically along the same regional fault network as the Bralorne deposit and the nearby Goldrange property. Grab samples from the Homathko gold project have yielded up to 384 grams per tonne gold.
