HM EXPLORATION ANNOUNCES CLOSING OF PRIVATE PLACEMENT FOR GROSS PROCEEDS OF $600,000
HM Exploration Corp. has closed its non-brokered private placement previously announced on
Dec. 22, 2025, and has issued 3,333,334 units, at a price of 18 cents per unit, for
aggregate gross proceeds of $600,000.12. Each unit comprises one common share of the company
and one-half of one transferable common share purchase warrant, with each warrant entitling the holder to acquire one additional share at an
exercise price of 25 cents for a period of 36 months from the closing date.
The company will use the proceeds from the offering toward exploration on the company's properties
and/or for general working capital purposes.
All securities issued in connection with the offering are subject to a statutory hold period of four months
and one day.
The company also announces it has granted an aggregate of 1.3 million stock options to
members of its board of directors, management team and consultants of the company. The options are
exercisable at a price of 25 cents per common share for a term of five years, vesting in two equal
tranches over two years. The options are governed by the terms of the company's equity incentive
plan and the options, and any common shares issued upon the exercise of, are subject to a four-month
hold period from the date of grant in accordance with the policies of the Canadian Securities Exchange.
