HAMPTON COMPLETES ISSUANCE OF SHARES FOR DEBT

Hampton Financial Corp., further to its news release of April 1, 2026, has received approval from the TSX Venture Exchange and has completed the issuance of 261,260 subordinate voting shares of Hampton at the deemed price of 45 cents per share. The issued shares will be subject to hold periods restricting their resale until Aug. 11, 2026.
