HAMPTON CLOSES PREVIOUSLY ANNOUNCED ISSUE OF SHARES FOR DEBT
Hampton Financial Corp. has closed the issuance of shares to settle certain debt obligations under debentures as described in Hampton's press release of Dec. 23, 2025. Hampton issued 10,528,141 subordinate voting shares to debentureholders to settle all obligations under Hampton debentures in the aggregate principal amount of $4-million and to settle a quarterly interest payment under Hampton debentures in the aggregate principal amount of approximately $5.2-million. The subordinate voting shares are subject to a hold period of four months and one day from their date of issuance, which will expire on May 30, 2026. This closing will serve to strengthen Hampton's balance sheet and reduce the cash cost of financing its operations. The company expects this to have a meaningful impact on 2026 results.
