RESTART LIFE SCIENCES ANNOUNCES CLOSING FIRST TRANCHE OF FINANCING

Further to Restart Life Sciences Corp.'s news release dated Nov. 12, 2025, the company has closed the first tranche of its non-brokered private placement for total gross proceeds of $500,000.

Pursuant to the placement, the company has allotted and issued five million units at a price of 10 cents per unit. Each unit consists of one common share and one transferable common share purchase warrant. Each warrant entitles the holder to purchase one additional common share for a period of one year at a price of 10 cents per common share.

In connection with the placement, the company paid cash finders' fees totalling $16,800 and issued 60,000 non-transferable finder warrants to certain eligible arm's-length finders who introduced subscribers to the placement. Each finder warrant entitles the holder to purchase one common share for a period of one year at a price of 10 cents per common share.

The company intends to use the proceeds from the offering toward health food trials, potential acquisitions and general working capital. All securities issued under the placement are subject to a hold period of four months and one day expiring on April 6, 2026.
