HIGHCLIFF PROVIDES CORPORATE UPDATE

Highcliff Metals Corp. has provided shareholders with the following corporate update.

As previously announced, the company has completed its non-brokered private placement financing. The company appreciates the continued support of its shareholders and investors. Details regarding the financing are contained in the company's news release of July 22, 2026.

The company continues to evaluate opportunities that management believes may enhance long-term shareholder value and remains focused on identifying opportunities within the mineral exploration and resource sector that are consistent with the company's strategic objectives. As part of its continuing review, the company periodically considers opportunities across various commodity sectors, including natural hydrogen, helium, critical minerals, precious metals and other prospective resource opportunities that management believes warrant evaluation.

The company has not entered into any letter of intent, definitive agreement or other binding arrangement in respect of any acquisition, option, business combination or other material transaction. Accordingly, there can be no assurance that the company's continuing review of potential opportunities will result in any transaction.

The company will provide further updates as developments warrant and in accordance with the requirements of the TSX Venture Exchange and applicable securities laws.
