HARRYS MANUFACTURING INC. UPDATES TERMS OF NON-BROKERED PRIVATE PLACEMENT

Harrys Manufacturing Inc. has provided an update to the terms of its previously announced non-brokered private placement, initially disclosed on May 23, 2025.

Under the updated terms of the offering, the company intends to issue up to 4,247,826 units at a price of 2.3 cents per unit for aggregate gross proceeds of up to $100,000.

Each unit will consist of one common share in the capital of the company and one transferable common share purchase warrant. Each warrant will entitle the holder to purchase one additional share at a price of five cents for a period of 24 months from the closing of the offering.

The company may pay finders' fees on the offering within the amount permitted by the policies of the Canadian Securities Exchange. The company will use the net proceeds from the offering for operations and administrative costs.

Completion of the offering is subject to certain conditions, including receipt of all necessary corporate and regulatory approvals, including the CSE. All securities issued in connection with the offering will be subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities legislation. The offering is not subject to a minimum aggregate amount of subscriptions.
