HAPBEE ANNOUNCES FAILURE-TO-FILE CEASE TRADE ORDER

The British Columbia Securities Commission, as Hapbee Technologies Inc.'s principal regulator, has issued a failure-to-file cease trade order (FFCTO) prohibiting the trading of the company's securities in Canada, including trades in its common shares through the TSX Venture Exchange.

The FFCTO was issued due to a delay in filing the company's audited annual consolidated financial statements for the year ended Dec. 31, 2025, along with the related management's discussion and analysis, and certification of annual filings, which were due by April 30, 2025, as required under National Instrument 52-109, Certification of Disclosure in Issuers' Annual and Interim Filings.

The delay primarily results from recent management changes, including the departure of the company's chief financial officer (CFO) in 2025 and a new CFO in the fall of 2025. Additionally, the company has experienced administrative delays due to the impact of the continuing conflict in the Middle East.

The company is working diligently with its accounting staff and external auditor to complete the audit and expects to file the required documents as soon as practicable, currently targeting completion within the next two weeks.
