(TSX-V: HAKK.P) (the "Company" or "HAKKEN") is pleased to announce that it has completed the second and final tranche of its non-brokered private placement of the common shares of the Company (the "Shares") previously announced on October 28, 2020 and December 14, 2020 (the "Offering"). Together with the first tranche closing of the Offering announced by the Company on December 18, 2020, the Company issued an aggregate 5,000,000 Shares, at a price of $0.20 per Share, for aggregate gross proceeds of $1,000,000. In this second tranche, the Company issued an aggregate of 2,107,000 Shares, at a price of $0.20 per Share, for aggregate gross proceeds of $421,400. The securities issued in connection with this second and final tranche Offering are subject to a statutory 4-month hold period which expires on May 23, 2021. In connection with the Offering, the Company paid an aggregate cash fee of $70,000, representing 7% of the gross proceeds raised by a finder under this Offering. The proceeds from the Offering will be used for general working capital and to expand the search for HAKKEN's Qualifying Transaction. The securities being offered have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, and may not be offered or sold in the United States or to, or for the account or benefit of, U.S. persons absent registration or an applicable exemption from the registration requirements. This news release will not constitute an offer to sell or the solicitation of an offer to buy nor will there be any sale of the securities in any State in which such offer, solicitation or sale would be unlawful.
