The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 7, 2023.

Number of shares:  5,888,888 common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant

Purchase price:  4.5 cents per unit

Warrants:  2,944,444 whole warrants to purchase 2,944,444 shares

Warrant price:  eight cents, exercisable for a period of two years from the date of issuance

Number of placees:  five placees

Total existing insider involvement:  4,777,777

Finder's fee:  $1,750 and 38,889 warrants (one finder) (The finder's warrants are exercisable at eight cents per finder's share for a period of 24 months from the date of issuance.)

The company issued news releases on July 21, 2023, Aug. 18, 2023, and Sept. 8, 2023, to announce the closings of, and updates on, the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
