ANDREW JOHN THOMSON ACQUIRES SECURITIES OF GALAXY VENTURES INC.

Andrew John Thomson has directly acquired ownership and control of 50,000 common shares of Galaxy Ventures Inc., effective Oct. 8, 2024.

The subject shares were acquired in the public market and represent 0.62 per cent of all issued and outstanding common shares of the company as of Oct. 8, 2024, resulting in a corresponding change to the aggregate percentage ownership of the company by the acquiror.

Prior to the acquisition, the acquiror and his joint actor had ownership and control over 857,700 shares, representing approximately 10.59 per cent of the issued and outstanding shares, along with 125,000 stock options of the company. Prior to the acquisition, assuming the exercise of all options exercisable by the acquiror within 60 days of the date of the acquisition, the acquiror and his joint actor would have had ownership and control over 982,700 shares, representing approximately 11.95 per cent of the issued and outstanding shares on a partially diluted basis.

Following the acquisition, the acquiror and his joint actor held an aggregate of 907,700 shares, representing approximately 11.21 per cent of the issued and outstanding shares, along with 125,000 options. Assuming the exercise of all of the options exercisable by the acquiror within 60 days of the date of the acquisition, the acquiror and his joint actor would have had ownership and control over 1,032,700 shares, representing approximately 12.56 per cent of the issued and outstanding shares on a partially diluted basis.

The subject shares were acquired for an aggregate purchase price of $3,612.50 through the facilities of the TSX Venture Exchange. The holding of securities of the company by the acquiror is managed for investment purposes, and the acquiror and/or his joint actors may increase or decrease their respective investments in the company at any time or continue to maintain their current investment position, depending on market conditions or any other relevant factors.
