GETCHELL GOLD CORP. CLOSES THIRD AND FINAL TRANCHE OF NON-BROKERED PRIVATE PLACEMENT

Getchell Gold Corp. has closed the third and final tranche of its previously announced non-brokered private placement offering which altogether issued an aggregate of 5,295,500 units at a price of 20 cents per unit for gross proceeds of $1,059,100.

Each unit consists of one common share and one-half of one warrant of the company. Each warrant entitles the holder to acquire one additional common share at a price of 35 cents per share for a period of two years from the date of closing.

The proceeds from the private placement will be used for exploration and development of the company's properties and general working capital.

In connection with the third tranche, the company paid finder's fees in the amount of $3,520, and issued an aggregate of 17,600 finder's warrants. Each finder's warrant entitles the holder to acquire one additional common share of the company at a price of 35 cents per share for a period of two years from the date of closing.

The securities to be issued in connection with the third tranche are subject to a statutory four-month hold period expiring on Jan. 19, 2023, in accordance with applicable securities laws.
