The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of all of the outstanding shares of Mina Bolanitos S.A. de C.V. Pursuant to the terms of the agreement, the company will issue 36,908,363 shares to the vendors and pay $30-million (U.S.) cash in order to complete the acquisition of the target. In addition, the company will make two contingent payments to the vendors, each being $5-million (U.S.) (for a total of $10-million (U.S.)), upon achieving certain production milestones. Each contingent payment will be satisfied 50 per cent in cash and 50 per cent in shares of the company. Any issuance of shares related to the contingent payments will be subject to the floor price of 18.909 U.S. cents up to 26,442,434 shares. The target consists of all the vendors' mining assets located in the Guanajuato district of Mexico, which also includes the 29 mining concessions that comprise of the Bolanitos gold-silver mine.
