GOLDEN SUN ANNOUNCES ISSUANCE OF SHARES FOR DEBT SETTLEMENT

Golden Sun Mining Corp. has entered into debt settlement agreements with certain creditors of the company, pursuant to which it has discharged aggregate indebtedness of $228,708 in consideration of the issuance, subject to regulatory approval, of a total of 1,270,600 common shares of the company at a deemed price of 18 cents per common share.

The securities issued pursuant to the debt settlements are subject to a statutory hold period of four months from the date of issuance.
