Goldstrike Resources Ltd. (TSX VENTURE:GSR)(PINKSHEETS:APRAF)(FRANKFURT:KCG1) is pleased to announce that its non-brokered private placement announced on November 11, 2011 and December 16, 2011 completed on December 22, 2011, increasing slightly from the 2,418,000 shares previously announced to a total of 2,425,332 shares. The Company raised gross proceeds of $1,455,199.20 by issuing 2,325,332 flow-through shares at the price of $0.60 and 100,000 non-flow-through shares at the price of $0.60 each.

The Company has paid to Aberdeen Gould Capital Markets Ltd. and its selling group, in the aggregate, cash finders' fees totaling $87,311.96, which is equal to 6% of the gross proceeds from the offering. In addition, the Company has issued finder's warrants exercisable to purchase 145,520 shares, which is equal to 6% of the number of shares issued by the Company pursuant to the offering. Each finder's warrant is exercisable at the price of $0.60 until December 22, 2013. All shares issued pursuant to the offering and any shares issued pursuant to the exercise of finders' warrants will be subject to a four-month hold period expiring at midnight on April 22, 2012.

The proceeds from the flow-through portion of the offering will be used for exploration of the Company's Yukon mineral properties. The proceeds from the non-flow-through portion of the offering will be used for general working capital.
