GOLDEN SHARE ANNOUNCES ANNUAL AND SPECIAL MEETING RESULTS

Golden Share Resources Corp. has released the results of its annual and special meeting of shareholders held on May 31, 2023. Golden Share's shareholders voted overwhelmingly in favour of each of the matters considered at the meeting, including the election of management's nominees both before and after the completion of the proposed reverse takeover transaction with Lipari Diamond Mines Ltd. (see press release dated March 20, 2023), appointing Kreston GTA LLP as the company's auditor for the ensuing year and authorizing the board of directors to set their remuneration, approving the proposed share consolidation and name change to be completed in connection with the proposed reverse takeover transaction, and approving the company's omnibus incentive plan, all as described in the company's management information circular posted under its profile at SEDAR.

The company is continuing to make progress with respect to the completion of the necessary filings to obtain final approval from the TSX Venture Exchange with respect to the proposed reverse takeover transaction and will provide further updates on the status and timing of the transaction as they become available.
