The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement.

Number of shares:  1,492,000 subordinate voting shares

Purchase price:  15 cents per share

Warrants:  1,492,000 share warrants to purchase 1,492,000 shares

Warrant exercise price:  20 cents per share for a period of 24 months

Number of placees:  five placees

Insider/pro group participation:  nil

Finder's fee:  nil

The company issued a news release on March 14, 2024, confirming the closing of the private placement.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
