--->unces that it will conduct a non-brokered private placement of up to 10,000,000 units at a price of $0.03 per unit (th
--->e "Units") to raise up to an aggregate total of $300,000.00 (the "Financing"). 

Each Unit will consist of one common share in the equity of the Company and one share purchase warrant (the "Warrant")
--->.  Each Warrant entitles the holder to purchase one additional common share of the Company at a price of $0.05 per sha
--->re for a period of five (5) years. 

The proceeds of the Financing will be used for working capital purposes. The Financing may be subject to Canadian Secu
--->rities Exchange approval.
