GOLDREA ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OF UNITS AND AMENDMENT OF WARRANTS

Goldrea Resources Corp. will conduct a non-brokered private placement of six million units at 1.5 cents each, for gross proceeds of up to $90,000. Each unit will comprise one common share and a common share purchase warrant with an exercise price of 1.5 cents for a period of three years. The gross proceeds will be used for exploration and other activities for the advancement of the company's mineral properties and for general working capital. All securities issued under the private placement will be subject to resale restrictions, including a four-month hold. A finder's fee may be paid in connection with the financing.

The company is also extending the exercise period of the warrants issued under a private placement closed Feb. 22, 2021, subject to approval by the Canadian Securities Exchange. The warrants originally had an exercise period which expired on Feb. 22, 2024. The proposed extension will extend the expiry date to Feb. 22, 2025. All other terms and conditions of the warrants will remain the same.
