GOLDREA AMENDS TERMS OF PRIVATE PLACEMENT AND WARRANTS

Goldrea Resources Corp. is amending the terms of its non-brokered private placement of 11.43 million units, previously announced on April 5, 2023. The units are now priced at 2.5 cents each, with each unit comprising one common share and a full common share purchase warrant with an exercise price of five cents for a period of three years.

In addition, the company is extending the exercise term of the previously issued warrants:

• With respect to warrants issued on July 12, 2021, the expiry date has been extended from July 23, 2023, to July 23, 2024.
• With respect to warrants issued on Aug. 12, 2021, the expiry date has been extended from Aug. 12, 2023, to Aug. 12, 2024.

All other terms and conditions of the warrants remain the same.
