GOOD GAMER ANNOUNCES CLOSING OF SECOND AND FINAL TRANCHE OF NON-BROKERED PRIVATE PLACEMENT

Good Gamer Entertainment Inc. has closed the second and final tranche of its previously announced non-brokered private placement, as described in its news releases dated May 29, 2026, and July 16, 2026. The first tranche of the offering closed on June 30, 2026.

Pursuant to the second tranche, the company issued an aggregate of 1,666,667 units of the company at a price of six cents per unit for aggregate gross proceeds of $100,000.02.

Together with the first tranche, the company has issued an aggregate of 3,334,001 units for aggregate gross proceeds of $200,040.06 and the offering is now closed.

Each unit consists of one common share in the capital of the company and one transferable common share purchase warrant. Each warrant entitles its holder to purchase one common share at a price of eight cents per warrant share for a period of 24 months from the date of issuance.

The second tranche was completed following the completion of the TSX Venture Exchange's review of the personal information forms submitted on behalf of the subscribers under the second tranche. The company has received conditional acceptance of the TSX venture exchange for the offering and the second tranche remains subject to the final acceptance of the TSX Venture Exchange.

No finders' fees were paid in connection with the second tranche.

The gross proceeds from the offering will be used by the company for general working capital.

All securities issued in connection with the second tranche are subject to a statutory hold period of four months and one day from the closing date of the second tranche, expiring on Jan. 22, 2027, in accordance with applicable securities laws.
