GINSMS ANNOUNCES AUDITED FINANCIAL RESULTS FOR THE TWELVE-MONTH PERIOD ENDED DECEMBER 31, 2023

GINSMS Inc. has released its audited financial statements for the 12-month period ended Dec. 31, 2023, have been filed today on SEDAR+.

On Feb. 13, 2024, GINSMS had disclosed through the issuance of a press release unaudited financial results for the three-month and the 12-month periods ended Dec. 31, 2023, and has provided financial forecasts for the 2024 financial year. This financial disclosure was done in advance of today's filing of the audited financial statements of the corporation to allow GINSMS's ultimate holding company, Beat Holdings Ltd. (BHL), a public company in Japan, to use certain of GINSMS's financial information in the preparation of BHL's financial statements.

GINSMS's financial information for the 12-month period ended Dec. 31, 2023, was prepared in accordance with international financial reporting standards (IFRS) as issued by the International Accounting Standards Board (IASB).

GINSMS is pleased to report that there is no significant change between the audited financial statements filed today and the unaudited financial information it disclosed earlier on Feb. 13, 2024, except for the following:

1. Amendment of segment profits of the messaging and software products and services segments from $44,417 and $90,206 to $23,889 and $44,398 for the year ended Dec. 31, 2023, respectively.
2. Amendment of unallocated segment losses of $264,279 to $197,943 for the year ended Dec. 31, 2023.
3. Amendment of segment losses of the messaging and unallocated segments from $193,143 and $340,127 to $222,553 and $277,883 for the year ended Dec. 31, 2022, respectively.
4. Amendment of software products and services segment profits of $500,986 to $468,152 for the year ended Dec. 31, 2022.
