GOAT INDUSTRIES ANNOUNCES DEBT SETTLEMENTS AND OPTION AGREEMENT

Goat Industries Ltd. intends to enter into debt settlement agreements with certain creditors of the company to settle outstanding indebtedness in the aggregate amount of $41,912.01 in exchange for the issuance of 465,689 units at a price of nine cents per unit. Each unit will comprise one common share in the capital of the company and one common share purchase warrant, with each warrant exercisable for a period of two years at a price of 15 cents per warrant.

The company is finalizing the debt settlement to enhance its financial standing by diminishing its current liabilities. All securities issued by the company will be subject to a standard four-month hold period from the date of issue.

The company has received acceptance of the debt settlement from the Canadian Securities Exchange.

The company also entered into an option agreement, as of the date of this news release, with an arm's-length party (the purchaser). Pursuant to the option agreement, the company is the registered and beneficial holder of 100 per cent of the right, title and interest in and to the Lacana-Doran property. The option agreement provides that the purchaser the option to acquire, from the company, up to a 100-per-cent interest in the property on the indicated dates shown in the attached table.
