(the "Company or "GOAT") (CSE: GOAT) is pleased to announce the results of the Annual General and Special Meeting of Shareholders held on July 11, 2023 (the "Meeting"). The Company is pleased to announce that all matters submitted to shareholders for approval as set forth in the Company's Notice of Meeting and Information Circular, both dated June 6, 2023, were approved at the Meeting. There were 14 shareholders represented in person or by proxy at the Meeting, holding 15,641,131 common shares, representing 4.80% of the Company's total issued and outstanding common shares as of the record date for the Meeting. The voting results for each matter presented at the Meeting are set out below: Number of Directors The resolution to set the number of directors of the Company at three (3) was approved by votes cast by the shareholders who voted in respect of the resolution present or represented by proxy at the Meeting. Voting results are set out below: 15,525,131 Votes For 116,000 Votes Against 99.26% 0.74% Election of Directors Each of the nominees for election as a director listed in the Company's Information Circular dated June 6, 2023, were elected as directors of the Company for the ensuing year until their successors were elected or appointed. Voting results are set out below: 15,460,131 Votes For 181,000 Votes Against 98.82% 1.18% Share Consolidation The resolution to authorize the directors to consolidate the issued and outstanding Common Shares on the basis of one (1) new post-consolidated common share for every one hundred (100) currently outstanding common shares, as described in the Information Circular was approved. Voting results are set out below: 14,732,631 Votes For 908,500 Votes Against 94.19% 5.81% Approval of Other Matters The resolution to transact such other business that may be brought properly before the Meeting and any adjournment or postponement of the Meeting.
