NEWS RELEASE - EARLY WARNING REPORT ISSUED PURSUANT TO NI 62-103
ACQUISITION OF SHARES  OF GENER8 MEDIA CORP.
This press release is being disseminated as required by National Instrument 62-103 in connection with the filing of an
---> Early Warning Report regarding the acquisition of securities of Gener8 Media Corp. (the "Issuer"), a corporation inco
--->rporated under the laws of British Columbia with its securities trading on the Canadian Securities Exchange under the 
--->symbol "GNR". 
On April 11, 2014, the  Issuer closed an amalgamation with Gener8 Investments Ltd. and 0986125 BC. Ltd. (the "Amalgama
--->tion").  The Amalgamation resulted in a share-for-share exchange where the Class A shares and Class B shares in the ca
--->pital of Gener8 Investments were exchanged for common shares of the Issuer. 
As a result of the Amalgamation, Mr. Armes acquired beneficial ownership of 1,368,371 common shares in the capital of 
--->the Issuer. The Offeror owns 1,368,371 common shares directly and exercises control and direction of an additional 3,8
--->66,555 common shares of the Issuer through the Armes Family Trust.  The 5,234,926 common shares represent 11.45% of th
--->e issued and outstanding common shares of the Issuer on a non-diluted basis.  The Offeror also holds 150,000 share pur
--->chase options (the "Options") of the Issuer.  Assuming the exercise of those options, the Offeror would own directly, 
--->or have control and direction over, an aggregate of 5,384,926 common shares of the Issuer, or 11.78%.  Prior to the Am
--->algamation, Mr. Armes had sole voting and investment power over 5,877,598 common shares of the Issuer owned by Gener8 
--->Investments Ltd. 
The Offeror acquired the Shares that are the subject of this early warning report for investment purposes.   The Offer
--->or may, depending on various factors including, without limitation, market and other conditions, increase or decrease 
--->his beneficial ownership, control or direction over Shares or other securities of the Issuer, through market transacti
--->ons, private agreements, treasury issuances, exercises of convertible securities or otherwise.
