--->,000 common shares ("Shares") of GeoNovus Media Corp. ("GeoNovus") as part of a Revenue Participation Agreement (the "

The 17,000,000 Common Shares acquired by Mr. Marlowe in addition to existing holdings of shares, warrants or stock opt
--->ions in the capital of GeoNovus represent 13.9% of GeoNovus' issued and outstanding common shares on a non-diluted bas
--->is or 14.3% of GeoNovus' issued and outstanding common shares, calculated on a partially-diluted basis assuming the ex
--->ercise of the Mr. Marlowe's stock options. 
After giving effect to the acquisition referred to above, Mr. Marlowe beneficially owns a total of 17,000,000 Shares a
--->nd 500,000 stock options, which collectively represent 14.3% of the Company's issued and outstanding common shares, ca
