--->rther to its news releases dated March 11th, 2015, the Company has completed its non-brokered private placement of 15,
--->450,000 units (the "Units") at a price of $0.02 per Unit for gross proceeds of $309,000 (the "Offering").

Each Unit is comprised of one common share (a "Share") and one half Share purchase warrant (a "Warrant") of the Compan
--->y.  Each full Warrant will entitle the holder to purchase one Share (a "Warrant Share") at a price of $0.05 per Warran

All securities issued pursuant to the private placement are subject to a hold period expiring on August 9, 2015.
