The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 14, 2023.

Number of shares:  1.9 million shares

Purchase price:  10 cents per share

Warrants:  1.9 million share purchase warrants to purchase 1.9 million shares

Warrant exercise price:  20 cents for a two-year period

Number of shares:  1.7 million flow-through shares

Purchase price:  12 cents per share

Warrants:  1.7 million share purchase warrants to purchase 1.7 million shares

Warrant exercise price:  20 cents for a two-year period

Number of placees:  six placees

Finder's fee:  $16,320 cash and 136,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 20 cents for a period of two years from the date of issuance.

The company issued news releases on Aug. 3, 2023, and Oct. 11, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
