The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 12, 2024.

Number of shares:  19,999,998 Class A shares

Purchase price:  3.5 cents per common share

Warrants:  19,999,998 share purchase warrants to purchase 19,999,998 common shares

Warrant exercise price:  five cents per common share during a period of three years

Number of placees:  15 placees

Total existing insider involvement:  6,100,714 (two insiders)

Finders' fees:  $2,450 cash and 70,000 intermediary warrants

Intermediary warrant terms:  Each intermediary warrant entitles the holder to purchase one common share at an exercise price of five cents for 36 months.

The company issued a news release dated Jan. 30, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
