The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of eight claims totalling 434.4 hectares in the Sept Iles area of Quebec pursuant to property purchase and sale agreement dated Oct. 16, 2023, between the company and an arm's-length vendor.

Consideration:  1.5 million units

Each unit comprises one common share and one non-transferable share purchase warrant. Each warrant entitles the holder to acquire one additional common share at an exercise price of 15 cents for a period of 60 months.

The arm's-length vendor is granted a 2-per-cent net smelter return (NSR) royalty on the property, with the company being granted a buyback of a 1-per-cent NSR royalty at any time for $1.0-million (Canadian).

Pursuant to an underlying transfer agreement dated May 31, 2018, between the arm's-length vendor and two transferors; the two transferors are granted a 0.5-per-cent NSR royalty on the property.
