REGEN III ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OF UP TO $4 MILLION

ReGen III Corp. has initiated a non-brokered private placement financing of up to 20 million units of the company at a price of 20 cents per unit for gross proceeds of up to $4-million. The net proceeds from the offering are intended to be used for working capital, general corporate purposes and the repayment of debt.

Each unit will consist of one common share in the capital of the company and one-half of one common share purchase warrant. Each warrant entitles the holder to purchase an additional share at an exercise price of 30 cents per warrant share for a period of three years from the date of issuance.

The closing of the offering is subject to receipt of all necessary regulatory approvals, including approval by the TSX Venture Exchange. In connection with the offering, the company may pay certain finders' fees subject to compliance with applicable securities laws and the rules of the exchange. The securities issued pursuant to the offering will be subject to a statutory four-month hold period.
