The TSX Venture Exchange has accepted for filing the company's proposal to issue 824,250 common shares to settle outstanding debt for $164,850.

Number of creditors:  19 creditors

Total non-arm's-length-party involvement:  $24,500, 122,500 shares at 20 cents (two parties)
